PRIVATE VIEW AGREEMENT

This Private View Agreement shall constitute a supplement to the Account or Trust Agreement between You ("You") and Fiduciary Trust Company ("Fiduciary") and shall govern your use of the Fiduciary Trust Private View web site to access information related to your account(s) with Fiduciary. By signing a copy of this Private View Agreement or by accessing or using the site You acknowledge that You have read, understood and agree to be bound by these terms and to comply with all applicable laws and regulations. If You do not agree to these terms, do not use the site. The site may contain other proprietary notices and copyright information, including, without limitation, our general terms and conditions, the terms of which shall also constitute a part of the agreement between You and Fiduciary and must be observed and followed. In the event of a conflict between provisions, the terms of your Account or Trust Agreement shall take precedence over all conflicting terms and this Private View Agreement shall take precedence over all terms other than your Account or Trust Agreement. Information on the site may contain technical inaccuracies or typographical errors.

ACCOUNT ACCESS AND SECURITY
You will receive a login ID and password only in respect of the Fiduciary account(s) of which You are the owner, trustee or beneficiary. The selection of a password and the protection of your login ID and password are your responsibility. You shall be solely responsible for any use which is made of your login ID and password and Fiduciary shall have no liability for any unauthorized use or access to your account information which results from your dissemination of, or failure to adequately protect, your login ID and password.

TERMINATION OF USAGE
Fiduciary may terminate your access, or suspend your access to all or part of the site, without notice, for any conduct that Fiduciary, in its sole discretion, believes is in violation of any applicable law or is harmful to the interests of Fiduciary or of a third party.

INDEMNIFICATION

You agree to indemnify and hold us and our officers, directors, shareholders, agents, merchants, third-party content providers, sponsors, licensors, subsidiaries, affiliates, customers, suppliers, service providers and employees harmless from and against any claim or demand, including reasonable attorneys fees, which may be due to any third party arising out of your breach of this Private View Agreement or your violation of any law or the rights of a third party.

TRADEMARKS
FIDUCIARY TRUST PRIVATE VIEW and PRIVATE VIEW are service marks of Fiduciary Trust Company and may not be used without the prior written consent of Fiduciary. All other trademarks, product names, and company names and logos appearing on the site are the property of their respective owners.

APPLICABLE LAW
The site is created and controlled by Fiduciary in the Commonwealth of Massachusetts. The laws of the Commonwealth of Massachusetts will govern these disclaimers, terms and conditions, without giving effect to any principles of conflicts of laws. You hereby irrevocably and unconditionally consent to submit to the exclusive jurisdiction of the courts of the Commonwealth of Massachusetts for any litigation arising out of or relating to use of the site.

AMENDMENTS
Fiduciary reserves the right to make changes at any time to the site and to make changes to these disclaimers, terms and conditions, by making the revised disclaimers, terms and conditions available on the site. your continued use of the site shall constitute your agreement to be bound by the disclaimers, terms and conditions as so revised.

SEVERABILITY
The provisions of this Private View Agreement are intended to be severable. If for any reason any provision of this Private View Agreement shall be held invalid or unenforceable in whole or in part in any jurisdiction, such provision shall, as to such jurisdiction, be ineffective to the extent of such invalidity or unenforceability without in any manner affecting the validity or enforceability thereof in any other jurisdiction or the remaining provisions hereof in any jurisdiction.

ACKNOWLEDGMENT
This Private View Agreement, including all documents referenced herein, represents the entire understanding between You and Fiduciary regarding your use of the site and supersedes any prior statements or representations. You AGREE TO BE BOUND BY THIS PRIVATE VIEW AGREEMENT AS IN EFFECT FROM TIME TO TIME by using the Fiduciary Trust Private View web site.
